These Terms of Service (the “Terms”) govern your access to and use of scalanceglobal.com, including its pages, articles, calculators and other online tools (together, the “Website”). The Website is operated by Scalance Global Solutions LLC (“Scalance Global,” “Scalance,” “we,” “us,” or “our”).

By using the Website you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website. If you use the Website on behalf of a company, you confirm that you are authorized to accept these Terms for that company.

The Website describes the outsourced operations and automation services Scalance provides to title and settlement, investor, lending, default and foreclosure, and secondary-market teams. Information on the Website is general and is provided so you can learn about us and decide whether to contact us.

Services are provided under separate agreements. Our services are performed only under a written agreement or statement of work signed or accepted by both parties. Nothing on the Website, and nothing you send us through it, creates an obligation for us to provide services, or for you to buy them. If an additional or different set of terms applies to a particular service, order or tool, those terms apply to it and control if they conflict with these Terms.

You agree to use the Website only for lawful purposes and in line with these Terms. You agree not to:

• Use the Website in a way that violates any law or regulation, or the rights of others
• Attempt to gain unauthorized access to the Website, its servers, accounts or any connected system
• Interfere with or disrupt the Website, or place an unreasonable load on it, including with automated requests
• Introduce malware or any other harmful or disruptive code
• Copy, scrape or republish the Website’s content at scale, or reverse engineer any part of it, except as the law allows
• Misrepresent who you are, or submit information that you know to be false or that you have no right to share

The Website’s articles, calculators and tools are provided for general information and planning only. They are not title, legal, tax, lending, underwriting, accounting or investment advice, and using them does not create an attorney-client, fiduciary or other professional relationship with Scalance.

Calculators give estimates. Results depend on the figures you enter and on general assumptions, such as state-level rates, fees and timelines, that are simplified averages for planning. They are not a statute, a quote, a commitment or a guarantee, they may be out of date or differ from the rules that apply to your transaction, and they should not replace transaction-specific review by a qualified professional. You are responsible for how you use any result.

When you contact us through the Website, please give accurate information. We use what you send as described in our Privacy Policy. Please do not include sensitive personal information in a contact form or message, such as Social Security numbers, bank or card numbers, or loan or account credentials. If we need transaction data from you, we will agree a secure way to exchange it.

You keep any rights you have in what you submit. You give us permission to use it to respond to you, to provide information about our services, and to run and improve our business, as described in the Privacy Policy.

The Website’s text, graphics, logos, images, software, layout and other content are owned by Scalance or its licensors and are protected by copyright, trademark and other laws. “Scalance” and the Scalance logo are our marks. Other names and marks belong to their owners.

We give you a limited, non-exclusive, non-transferable, revocable permission to view the Website and to print or download pages for your own personal or internal business use, as long as you keep all copyright and other notices. Any other use needs our written permission.

The Website may link to, or embed content from, websites and services we do not control, such as maps or social media pages. We are not responsible for their content, availability, terms or privacy practices, and a link does not mean we endorse them. Your use of them is at your own risk and under their own terms.

To the fullest extent the law allows, the Website and everything on it are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability and non-infringement.

We do not promise that the Website will be uninterrupted, secure or free of errors, or that its content or calculator results are complete, current or suitable for your situation. Some places do not allow certain disclaimers, so some of these may not apply to you.

To the fullest extent the law allows, Scalance and its owners, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or related to your use of, or inability to use, the Website or reliance on its content, even if we were told such loss was possible.

Nothing in these Terms limits liability that cannot be limited by law. Our responsibilities for services we perform for you are set out in the written agreement for those services, not in these Terms.

You are responsible for your use of the Website. To the extent the law allows, you agree to defend and hold Scalance harmless from claims, losses and reasonable costs that arise from your violation of these Terms or your misuse of the Website.

We may change, suspend or discontinue any part of the Website at any time, and we may restrict or end access for anyone who violates these Terms or misuses the Website, without notice. The sections of these Terms that by their nature should continue, such as those on intellectual property, disclaimers and limits of liability, continue after your access ends.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. You and Scalance agree that the state and federal courts located in Allegheny County, Pennsylvania are the place to bring any dispute about these Terms or the Website, and you consent to their jurisdiction, unless a different agreement between us says otherwise.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. If a change is material, we will give additional notice where the law requires it. Your continued use of the Website after a change takes effect means you accept the updated Terms. If any part of these Terms is found unenforceable, the rest stays in effect.
